The agreement between you and Velsyr when you use our website or engage us for design, development, or branding services.
These Terms of Service ("Terms") govern your access to and use of velsyr.vercel.app and any successor domain (the "Site"), and any design, development, branding, or related service you purchase from Velsyr ("we," "us," "our"). By browsing the Site, submitting an enquiry, or engaging us for a paid project, you agree to be bound by these Terms. If you don't agree, please don't use the Site or our services.
For paid projects, these Terms apply alongside any specific proposal, quote, or scope-of-work document we send you. Where a signed proposal and these Terms conflict, the signed proposal controls for that project.
Velsyr provides, among other things:
Specific deliverables, timelines, and pricing for your project are confirmed in a written quote, proposal, or order confirmation before work begins. Package names, prices, and inclusions shown on the Site are indicative and may be customised per project.
Our services are intended for businesses and individuals aged 18 or older, or the age of majority in your jurisdiction, who have the authority to enter into a binding contract. By engaging us, you confirm this is the case.
Standard projects (e.g. our 14-day website system) follow a structured process: strategy & blueprint, design, development, and launch. Published timelines assume:
Delays caused by late client feedback, missing content, or scope changes will extend the delivery timeline accordingly and are not treated as a missed deadline on our part.
Each package includes a defined number of revision rounds (typically stated in your proposal). Requests that go beyond the agreed scope — additional pages, new features, redesigns after approval, or a fundamentally different direction — are treated as scope changes and quoted separately before we proceed.
Once you approve a design stage or the final deliverable in writing (email or WhatsApp confirmation counts), further changes to that stage are billed as additional work.
You are responsible for any content you provide us — text, images, logos, testimonials, videos, and data. By submitting content, you confirm that:
You agree to indemnify us against claims arising from content you supplied (see Section 14). We may refuse to use content we reasonably believe is unlawful or infringing.
You retain full ownership of all content, trademarks, and materials you provide us.
Upon full and final payment for a project, ownership of the final approved deliverables (design files, final website code created specifically for you) transfers to you, excluding any third-party or pre-existing assets described below. Until final payment is received in full, all deliverables remain the intellectual property of Velsyr and are licensed to you for review purposes only.
Ownership does not extend to:
Unless you request otherwise in writing (e.g. for confidentiality reasons), we retain the right to showcase completed work — including screenshots, case studies, and general descriptions of results achieved — in our portfolio, website, and marketing materials.
Projects may rely on third-party services — hosting, domain registrars, CMS platforms, email tools, payment gateways, stock asset libraries, or analytics. Unless explicitly included in your quote, you are responsible for purchasing and maintaining these subscriptions/licenses directly, and for their ongoing costs after project handover.
We treat business information you share with us — strategy, unreleased branding, financials, credentials — as confidential, and will not disclose it to third parties except as needed to deliver the project (e.g. to a sub-contractor bound by similar confidentiality obligations) or as required by law.
Cancellation and refund eligibility depend on which project stage has been reached. Full detail is set out in our Refund & Cancellation Policy, which forms part of these Terms.
We warrant that services will be performed with reasonable skill and care, consistent with industry standards. Beyond that, the Site and our deliverables are provided "as is" and "as available."
To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law, Velsyr's total liability arising out of or relating to a project or these Terms will not exceed the total amount you paid us for that specific project in the 6 months preceding the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost business, or lost data — even if we were advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law (e.g. for fraud or gross negligence).
You agree to indemnify and hold Velsyr harmless from claims, damages, or expenses (including reasonable legal fees) arising from: content you provided, your use of the deliverables in violation of these Terms or law, or your breach of any warranty made in these Terms.
Either party may terminate an active project in writing if the other party materially breaches these Terms and fails to correct it within 14 days of written notice. We may also suspend or terminate services immediately for non-payment, abusive conduct, or unlawful use of our services. Fees for work completed up to the point of termination remain payable; refund eligibility for undelivered work is governed by our Refund & Cancellation Policy.
We are not liable for delays or failures caused by events beyond our reasonable control — including natural disasters, internet or power outages, third-party platform outages, illness, or government action. Affected timelines will be extended by a reasonable period once the event ends.
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Both parties agree that any dispute arising from these Terms or a project engagement will first be attempted to be resolved through good-faith informal negotiation.
If unresolved within 30 days, the dispute will be subject to the exclusive jurisdiction of the competent courts of Kolkata, West Bengal, India. If you are a consumer located in the EEA, UK, or another jurisdiction whose mandatory consumer-protection laws grant you the right to bring proceedings in your own country's courts, this clause does not remove that right.
